These Terms & Conditions (the "Terms") govern your access to and use of the GoSpectator service, websites, and applications (collectively, the "Service") operated by GOSPECTATOR LTD ("GoSpectator", "we", "us", or "our"), a company registered in England and Wales. By creating an account, publishing an event, purchasing a ticket, or otherwise using the Service, you agree to these Terms.

1. Who you are contracting with

The Service is provided to you by GOSPECTATOR LTD. If you use the Service on behalf of an organisation, you confirm that you have authority to bind that organisation to these Terms. If you are using the Service as an individual, you confirm that you are at least 18 years old, or the age of majority in your jurisdiction.

2. The Service

GoSpectator helps event organisers ("Organisers") create event pages, configure ticket tiers using AI assistance, accept payments, and admit attendees ("Attendees") via QR-code scanning. Organisers are solely responsible for the events they list, the accuracy of event details, ticket fulfilment, attendee experience, and compliance with all applicable laws (including consumer protection, safety, accessibility, licensing, and tax rules in the jurisdictions where their events take place).

3. Acceptable use

You must not, and must not allow any third party to:

  • use the Service for any unlawful, fraudulent, deceptive, or harmful purpose;
  • list events that promote violence, hate speech, illegal activity, or that infringe the rights of any person;
  • upload content that infringes the intellectual property, privacy, or publicity rights of any third party;
  • send spam or unsolicited messages through the Service;
  • interfere with the security or integrity of the Service, including by probing, scanning, reverse-engineering, scraping, or attempting to gain unauthorised access; or
  • introduce malware, viruses, or any other malicious code into the Service.

4. Accounts

You are responsible for safeguarding your account credentials and for all activity that occurs under your account. You must provide accurate, current, and complete information and keep it up to date. Notify us promptly of any suspected unauthorised access.

5. Organiser content

You retain ownership of the event details, images, descriptions, and other content you submit ("Organiser Content"). You grant GoSpectator a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, display, and transmit Organiser Content solely to provide and improve the Service, including showing your event to prospective Attendees.

6. Intellectual property

The Service, including all software, AI models, design, branding, documentation, and underlying technology, is owned by GOSPECTATOR LTD or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service in accordance with these Terms. No other rights are granted by implication.

7. Payments

Payments are processed securely by Stripe. For each ticket sale, the event organiser is the merchant of record and the seller of the ticket; Stripe pays the ticket revenue directly to the organiser's connected Stripe account. By purchasing a ticket or subscription you also agree to Stripe's applicable end-user terms.

GoSpectator (acting through GOSPECTATOR LTD) collects a per-ticket service fee and, where applicable, subscription fees via Stripe's application-fee mechanism. GoSpectator is responsible for issuing receipts and remitting UK VAT only on its own service and subscription fees. Organisers are responsible for any VAT or other tax on the ticket revenue they receive, and for handling refunds in line with our Refund Policy.

GoSpectator may, at its sole discretion, admit Organisers to its Partners programme, under which a reduced per-ticket service fee applies. Admission, ongoing eligibility, and removal from the Partners programme are decided by GoSpectator; if an Organiser is removed, the standard per-ticket fee applies to future ticket sales.

8. Age-restricted events

When creating an event, the Organiser selects an age restriction (No age restriction, 16+, or 18+). The Organiser is solely responsible for verifying the age of attendees at the door and for complying with local licensing, alcohol, and safeguarding law applicable to the event. GoSpectator only displays the age badge the Organiser selects and does not verify identity or age documents.

9. Event managers and scanners

An Organiser may grant other GoSpectator accounts manager or scanner access to their events (for example, to scan tickets at the door, view attendee lists, or view read-only event details after the event). The Organiser remains responsible for the actions of the accounts they authorise, including their handling of attendee data, and must revoke access promptly when it is no longer needed.

10. Ticket resale

Where the Organiser enables it for an event, an Attendee may list a ticket for resale on GoSpectator after the Organiser's refund window has closed. Resale is at face value only; the standard per-ticket service fee and Stripe processing fees apply on the resale. Payouts for a completed resale are issued through Stripe to the original buyer. Tickets that have already been scanned at the door, and tickets for cancelled events, cannot be resold. GoSpectator provides the resale marketplace but is not the seller of resold tickets.

11. Refunds

Refund handling is described in our Refund Policy. Attendees may request refunds from their ticket page within the Organiser's published refund period.

12. AI-generated content

The Service uses AI to suggest event copy, ticket tiers, pricing, and other content. AI output may be inaccurate, incomplete, or unsuitable for a particular purpose. You are responsible for reviewing, editing, and approving all AI-generated content before publishing or relying on it. AI output must not be used to generate illegal content, deepfakes, hate speech, or to circumvent the Service's safety controls. You confirm you have all necessary rights in any content you submit as input to AI features.

13. Service availability

We work hard to keep the Service running, but we do not guarantee that the Service will be uninterrupted, error-free, or available at all times. Scheduled maintenance, third-party outages, or events outside our control may affect availability.

14. Suspension and termination

We may suspend or terminate your access to the Service, or remove specific events or content, if you materially breach these Terms, fail to pay amounts due, present a security or fraud risk, or repeatedly violate our policies. You may stop using the Service at any time by closing your account.

15. Disclaimers

To the fullest extent permitted by law, the Service is provided "as is" and "as available", and GoSpectator disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

16. Limitation of liability

To the fullest extent permitted by law, our aggregate liability to you arising out of or relating to the Service in any 12-month period will not exceed the greater of (a) the fees paid by you to GoSpectator in the prior 12 months, or (b) GBP 100. We will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill. Nothing in these Terms limits liability for fraud, death, or personal injury caused by negligence, or any other liability that cannot be limited under applicable law.

17. Indemnity

You agree to indemnify and hold harmless GOSPECTATOR LTD against any claims, damages, and costs arising from your Organiser Content, your events, your use of the Service in breach of these Terms, or your violation of any law or third-party right.

18. Changes to the Service or Terms

We may update the Service and these Terms from time to time. Material changes will be communicated through the Service or by email. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

19. Governing law

These Terms are governed by the laws of England and Wales. The courts of England and Wales will have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, except that we may bring proceedings in any jurisdiction where you are established to enforce our intellectual property rights.
